Completes Acquisition of DS Medical

New York, October 23, 2003

MP TotalCare Inc., a Charterhouse Group portfolio company, today announced that it had completed the acquisition of Medical Holdings, Inc., a leading national supplier of direct-to-consumer urological supplies that operates under the trade name DS Medical Inc. MP TotalCare is now one of the largest privately-held providers of diabetic supplies, urological products and respiratory medications in the United States.

MP TotalCare, a Charterhouse portfolio company since 1999, is a $125 million revenue national specialty provider of diabetic, urological and respiratory products and supplies. The Company's products are distributed to over 100,000 patients with chronic health conditions such as diabetes and chronic obstructive pulmonary disease ("COPD"). Headquartered in Tampa, Florida, MP TotalCare provides diabetic supplies, urological supplies and respiratory medications directly to patients' homes. As part of its disease management services, the Company operates a customer call center, offers education and prescription compliance programs, and accepts Medicare assignment for patients.
